5.1 Promotion Name

The LEVELS Pre-Launch Giveaway (“Giveaway”).

5.2 Sponsor and Administrator

Sollia is both the Sponsor and the Administrator of the Giveaway. As Administrator, Sollia is solely responsible for the receipt and verification of entries, the conduct of the random drawings, and the identification, notification, and verification of winners. THE GIVEAWAY IS IN NO WAY SPONSORED, ENDORSED, ADMINISTERED BY, OR ASSOCIATED WITH INSTAGRAM, META PLATFORMS, INC., APPLE INC., GOOGLE LLC, TIKTOK, BYTEDANCE LTD., X CORP., OR ANY OF THEIR RESPECTIVE AFFILIATES. Certain prizes or prize components may be provided by third-party businesses or promotional partners (“Prize Providers”). Prize Providers are not sponsors, administrators, or operators of the Giveaway and are not responsible for the administration, execution, or selection of winners. See Section 5.7.

5.3 Promotion Period, Tier Timelines, and Launch Milestones

The Giveaway begins upon publication of the Landing Page (“Start Date”). Each prize tier has its own entry period, drawing trigger, and outside backstop date, as follows. All times are Eastern Time (ET). - Runner-Up Gift Card Tier (nationwide, not Region-dependent): entries close November 17, 2026. The random drawing will be conducted on the earlier of (a) December 1, 2026, or (b) the date the fifth (5th) Region launches, whichever occurs first. • Founding Member Tier (limited to Launched Region residents): entries close December 18, 2026. The random drawing will be conducted on the earlier of (a) January 1, 2027, or (b) the date the seventh (7th) Region launches, whichever occurs first. If no Region has launched as of January 1, 2027, that date will automatically extend, and the drawing for this tier will instead be conducted within thirty (30) days of the first Region launching. Sollia will post any such extension on the Landing Page. • Grand Prize Tier (limited to Launched Region residents): entries close January 15, 2027. The random drawing will be conducted on the earlier of (a) approximately January 20, 2027, or (b) the date the tenth (10th) Region launches, whichever occurs first. If no Region has launched as of January 20, 2027, that date will automatically extend, and the drawing for this tier will instead be conducted within forty-five (45) days of the first Region launching. As described in Sections 5.9 and 5.12, the Grand Prize drawing, private winner notification, and verification may be completed in advance of the public announcement, which is targeted for February 13–14, 2027 (or, if the automatic extension above applies, a date reasonably following completion of verification and prize arrangements). Each backstop date above is a firm outside limit for that tier’s originally scheduled drawing and will not be further extended except as expressly set out above or via a posted amendment to these Terms under Section 16. The Landing Page may reference sign-up or “readiness” milestones, including per-Region indicators, as marketing content; reaching or failing to reach such a milestone does not, by itself, change the dates and triggers above except as expressly stated. Sollia reserves the right to extend, modify, suspend, or terminate the Giveaway, or any individual tier, at any time, provided that any material modification or early termination will be communicated via the Landing Page and/or the @thelevelsapp social media accounts.

5.4 No Purchase Necessary

NO PURCHASE, PAYMENT, OR FINANCIAL CONTRIBUTION OF ANY KIND IS REQUIRED TO ENTER THE GIVEAWAY OR TO WIN A PRIZE. MAKING A PURCHASE DOES NOT IMPROVE YOUR ODDS OF WINNING. NO SOCIAL MEDIA ACCOUNT OR OTHER THIRD-PARTY ACCOUNT IS REQUIRED TO ENTER OR TO BE ELIGIBLE FOR ANY PRIZE.

5.5 How to Enter

To submit a valid Giveaway entry, you must complete the sign-up form on the Landing Page during the applicable entry period described in Section 5.3, providing your full name, phone number, email address, State, ZIP code, and selected Region, along with the Form’s other required questions. This, together with the certifications described in Section 3 and the agreements described in Section 4.3, is the entirety of what is required for a complete, valid entry. Limit: one (1) Giveaway entry per person. Multiple entries using different or false identities will be disqualified. BONUS ENTRY (OPTIONAL): You may earn one (1) additional entry per tier for which you are eligible by following the official @thelevelsapp account on Instagram (https://www.instagram.com/thelevelsapp), liking the most recent post on that account at the time of entry, and indicating on the sign-up form that you have done so. This bonus entry is entirely optional and is not required to submit a valid, complete Giveaway entry.

5.6 Referral Bonus Entries

You may earn one (1) additional Giveaway entry for each person you successfully refer to the waitlist (“Referral Bonus Entry”). To qualify, ALL of the following must be satisfied: (a) you (the referrer) must have already completed a valid sign-up on the Landing Page prior to or simultaneously with the referred person’s submission; (b) the referred person must complete the sign-up form in full and enter your phone number in the designated “Referred by” field; (c) the referred person must be a new, unique individual not previously registered on the waitlist; and (d) both you and the referred person must satisfy all eligibility requirements in Section 3. Referral Bonus Entries improve odds only within the prize tier(s) for which both the referrer and the referred person are eligible - for example, a referral where either party resides outside a Launched Region will still generate a valid Referral Bonus Entry for the Runner-Up Gift Card tier, but not for the Founding Member or Grand Prize tiers. There is no limit on the number of valid Referral Bonus Entries you may earn. Sollia will verify all referrals before crediting Referral Bonus Entries. Fraudulent, duplicate, or self-referrals are void.

5.7 Prizes and Approximate Retail Values (ARV)

No cash equivalents will be awarded. All prizes are non-transferable and non-exchangeable except as expressly stated. If any advertised prize or prize component becomes unavailable, Sollia may substitute a prize or component of equal or greater Approximate Retail Value. Third-Party Prize Providers: One or more prizes - including the Grand Prize date-night experience and the Runner-Up gift cards - may be provided in whole or in part by third-party businesses or promotional partners (“Prize Providers”). Prize Providers are not sponsors, administrators, or operators of this Promotion and are not responsible for winner selection. All aspects of the Promotion are administered solely by Sollia. Sollia requires each Prize Provider to maintain commercial general liability insurance and to indemnify Sollia against claims arising from a winner’s or guest’s presence at the Prize Provider’s venue, as further described in Sollia’s agreement with that Prize Provider. The identity of any Prize Provider will be disclosed to the applicable winner(s) at the time of fulfillment and may be disclosed publicly at Sollia’s discretion. PRIZE TIER 1 – FOUNDING MEMBER SPOTS: UP TO FIFTY (50) WINNERS. Fifty (50) individuals will be randomly selected from all eligible Founding Member Tier entries to receive Founding Member status in LEVELS, consisting of: lifetime Premium Membership at no charge, for so long as the winner maintains an active account in good standing, and an exclusive Founding Member badge on their in-App profile. ARV per prize: $83.88 (App’s anticipated launch price of $6.99/month × 12 months, a standard sweepstakes-industry convention for lifetime/indefinite benefits, not a duration cap). Total ARV if all 50 awarded: $4,194.00 USD. *Founding Member prizes require the winner to download the App and create an account. If a winner fails to download the App, create an account, or make a good-faith attempt to use the App’s core functionality within thirty (30) days of private notification, the prize will be deemed declined and forfeited in full, and Sollia will select an alternate winner. No substitute prize or compensation will be provided in this circumstance.* PRIZE TIER 2 – GRAND PRIZE: ONE (1) WINNER. One (1) individual will be randomly selected from all eligible Grand Prize Tier entries to receive an all-expense paid, VIP-curated date-night experience in or near the winner’s Region of residence. The experience may include dinner for two (2), one or more activities or entertainment experiences, and surprise perks, as determined by Sollia in its sole discretion. ARV: $350.00 USD, based on reasonable estimates for a curated dinner, activity, and VIP elements for two persons. *Additional conditions:* the Grand Prize requires the winner to have at least one (1) active match within the App at the time of fulfillment; Sollia will provide the winner not less than thirty (30) days following private notification to obtain a qualifying match. The winner’s chosen match must independently consent to participate; if unavailable, the winner may designate an alternative consenting match. Receipt of this prize requires the winner to download and maintain an active LEVELS account in good standing and to make a good-faith attempt to obtain a match (e.g., an active, complete profile with reasonable engagement). If the winner does not create a profile, does not engage with the App, or is unresponsive, the prize will be deemed forfeited in full under Section 5.10, with no substitute prize or compensation provided. If the winner has made a good-faith attempt but no consenting match becomes available within the designated period, or if a confirmed Prize Provider becomes unavailable, Sollia may substitute a prize of equal or greater ARV; no cash equivalent will be awarded. The Grand Prize is non-transferable and may not be accompanied by any person other than an active, consenting App match, who will be asked to sign a short liability acknowledgment prior to the experience. The Grand Prize is a single composite prize; a winner may not decline individual components while retaining others. PRIZE TIER 3 – RUNNER-UP GIFT CARDS: UP TO TEN (10) WINNERS. Up to ten (10) individuals will be randomly selected from all eligible Runner-Up Tier entries to each receive one (1) gift card from a national retailer or Sollia promotional partner. ARV per prize: $25.00 USD. Total ARV if all 10 awarded: $250.00 USD. TOTAL MAXIMUM ARV OF ALL PRIZES: $4,794.00 USD. Prizes have no cash value. All applicable federal, state, and local taxes on prizes are the sole responsibility of the winner. Under current federal law, Sollia is required to issue IRS Form 1099-MISC and collect tax information only for any prize valued at $2,000 or more; no prize offered in this Giveaway meets that threshold.

5.8 Winner Selection and Odds of Winning

Winners for each tier will be selected by random drawing from all eligible entries received for that tier as of its entry-close date, using random.org’s List Randomizer or an equivalent independently verifiable randomization method. A single entrant may not win more than one (1) prize tier; before each subsequent tier’s drawing, entrants who have already won a prize in an earlier tier are removed from the eligible pool. ODDS OF WINNING: Founding Member - up to 50 in the total eligible Founding Member Tier entries; Grand Prize - 1 in the total eligible Grand Prize Tier entries (after removing any prior-tier winners); Runner-Up Gift Card - up to 10 in the total eligible Runner-Up Tier entries (after removing any prior-tier winners). Referral Bonus Entries proportionally improve odds within the tier(s) for which they qualify. If fewer eligible entries are received than the number of prizes available in a tier, fewer prizes will be awarded in that tier.

5.9 Winner Notification

Potential winners in each tier will be notified privately via the email address and/or phone number provided at sign-up within five (5) business days of that tier’s drawing. This private notification, and the Affidavit and verification process in Section 5.11, will be completed before any public announcement of that winner. For the Grand Prize, Sollia may complete the drawing, private notification, verification, vendor arrangements, and match confirmation well in advance of the public announcement described in Section 5.12; the public announcement date does not govern the timing of the drawing or private notification for this tier. Sponsor’s attempt to notify a potential winner using the contact information provided at sign-up is deemed sufficient notice, regardless of whether the potential winner actually receives or responds to it. Sollia is not responsible for undeliverable notifications resulting from incorrect, outdated, or inaccurate contact information provided by the entrant. A potential winner who does not respond within five (5) business days, is determined ineligible, declines the prize, or fails to comply with any condition of these Terms will be disqualified, and an alternate winner may be selected.

5.10 Prize Forfeiture

A potential winner may voluntarily decline or forfeit a prize at any time by notifying Sollia at legal@solliahq.com. If a prize is declined, unclaimed, or forfeited for any reason - including under the App-engagement requirements in Section 5.7, disqualification under Section 5.9, or failure to timely return a completed Affidavit under Section 5.11 - Sollia may award that prize to an alternate winner or not award it at all. Prizes are non-transferable and non-exchangeable except as expressly stated. Where a prize consists of multiple components, a winner may decline only the prize as a whole.

5.11 Winner Affidavit, Release, and Prize Claim Requirements

Prior to receiving any prize and prior to any public announcement, each selected potential winner must complete and return an Affidavit of Eligibility, Liability Release, and (where legally permissible) Publicity Release within five (5) business days of private notification, via electronic signature. Grand Prize potential winners must additionally provide a photo of valid government-issued identification and a photograph of themselves holding that identification. Founding Member and Runner-Up potential winners are not required to submit identification unless Sollia reasonably determines it necessary to resolve a specific eligibility concern. Failure to return a properly completed Affidavit, or requested documentation, within the applicable period may result in disqualification and selection of an alternate winner. Publicity and recorded-call consent: the Affidavit requires each potential winner to consent, at minimum, to Sollia’s use of their first name, last initial, and city and state of residence for promotional purposes, as described in Section 5.12. For the Grand Prize winner specifically, Sollia intends to conduct a recorded call as part of the public announcement. Consent to be recorded and to have that recording published on Sollia’s social media accounts will be requested and obtained verbally, on the recording itself, at the start of that call, in addition to the general publicity consent in the Affidavit; the winner may decline the recorded call while retaining their prize, in which case they will be identified in the standard format described in Section 5.12 instead. Guest acknowledgment: the Grand Prize winner’s match/guest will be asked to sign a short liability acknowledgment prior to the date-night experience, releasing Sollia from liability arising from their attendance, as a condition of their participation in the experience. By accepting a prize, each winner releases and holds harmless Sollia and, where applicable, any Prize Provider, from liability arising from participation in the Giveaway or the receipt, use, or quality of any prize; grants Sollia a license to use their name/likeness as described above; and acknowledges that all taxes on prizes are their sole responsibility.

5.12 Winner Announcement – Timing, Method, and Process

Founding Member and Runner-Up Gift Card winners will be announced in a single batch announcement per tier, once all Affidavits for that tier’s winners have been received and verified. The Grand Prize winner will be announced individually, targeted for February 13–14, 2027, via the recorded-call process described in Section 5.11, following completion of private notification, Affidavit verification, match confirmation, and vendor arrangements. Announcement channels: dedicated post(s) on the @thelevelsapp Instagram, TikTok, and X accounts; email notification to all waitlist sign-ups; an update posted on the Landing Page. Winner identification: winners will be publicly identified by first name, last initial, and city and state of residence only (e.g., “Sarah M., Philadelphia, PA”), unless the winner has provided explicit written consent (or, for the Grand Prize winner, verbal consent on the recorded call) to broader use of their name/likeness. Winners who do not consent beyond first name and last initial will be acknowledged only as “Winner, [City, State].” To request a written list of winners, email legal@solliahq.com within sixty (60) days of the applicable tier’s entry-close date.
